Terms of Use & End User License Agreement

These Terms of Use and End User License Agreement ("Terms" or "EULA") are a binding agreement between you and Prohuman LLC, a Texas limited liability company ("Prohuman," "we," "us," or "our"), governing your download, access, and use of the Matic iPhone app and the getmatic.app website (together, the "Service"). By downloading, installing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you don't agree, do not use the Service.
PLEASE READ SECTION 14 (DISPUTE RESOLUTION) CAREFULLY. IT INCLUDES A WAIVER OF YOUR RIGHT TO A JURY TRIAL AND REQUIRES DISPUTES TO BE RESOLVED IN THE COURTS OF HARRIS COUNTY, TEXAS.
1. The Service
Matic is a habit app for iPhone. It lets you define habits and shield distracting apps behind Apple's Screen Time (Family Controls) framework, unlocking them in earned, time-limited sessions. Matic is a self-improvement tool. It is not a medical device and does not provide medical, mental-health, or addiction-treatment advice, diagnosis, or care, and we make no guarantee of any particular outcome.
2. Eligibility
You must be at least 13 years old — and the age of majority in your jurisdiction to form a binding contract, or have your parent or guardian agree to these Terms on your behalf — to use the Service. By using it, you represent that you meet these requirements and that all information you provide is accurate.
3. No accounts; your data
Matic has no sign-in. Your habits, streaks, and Time Bank live on your device (and in your own iCloud, if enabled). You are responsible for keeping your device and Apple account secure. How information is handled is described in our Privacy Policy.
4. License grant
Subject to these Terms, Prohuman grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use one copy of the Matic app on an Apple-branded product that you own or control, solely for your personal, non-commercial use, and as permitted by the Apple Media Services Terms and Conditions and the Usage Rules therein (including Family Sharing where applicable). We reserve all rights not expressly granted.
5. License restrictions
You agree not to, and not to permit others to:
- copy, modify, translate, or create derivative works of the Service except as allowed by law;
- reverse engineer, decompile, or disassemble the Service, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law;
- rent, lease, lend, sell, sublicense, distribute, or otherwise commercially exploit the Service;
- remove or alter any proprietary notices;
- use the Service to violate any law or any third party's rights, or to circumvent parental or device controls set by another person;
- interfere with or disrupt the integrity, security, or performance of the Service, or probe or test its vulnerabilities; or
- use the Service in any way not expressly permitted by these Terms.
6. Screen Time & device controls
Matic's blocking relies on Apple frameworks (Screen Time / Family Controls, ManagedSettings, and related APIs) that we do not control and that Apple may change, restrict, or discontinue. You authorize Matic to apply and lift app shields on your device based on your settings and earned sessions. You acknowledge that blocking behavior depends on Apple's platform and may not function in every configuration, and that the Service is for managing your own device only.
7. Subscriptions, billing & auto-renewal
Matic may offer an auto-renewing subscription and/or other in-app purchases sold through the Apple App Store and processed by Apple under your Apple account. By purchasing an auto-renewing subscription, you acknowledge and agree:
- Auto-renewal. Your subscription automatically renews for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period.
- Billing. Your Apple account is charged the disclosed price at confirmation of purchase and again within 24 hours before each renewal. The subscription length, price, and what's included are shown on the purchase screen before you buy.
- Managing & canceling. You can manage or cancel in your Apple account settings (Settings → your name → Subscriptions). Deleting the app does not cancel a subscription.
- Free trials. If a free trial is offered, any unused portion is forfeited when you purchase a subscription, where applicable.
- Price changes. If we change a subscription price, Apple will notify you and, where required, seek your consent to continue, in accordance with App Store rules.
- Refunds. Purchases are processed by Apple, and refunds are subject to Apple's policies; we generally cannot grant refunds directly. Statutory withdrawal/refund rights, where they apply, are unaffected.
8. Intellectual property
The Service — including its name, logo, design, text, graphics, and software — is owned by Prohuman LLC and protected by intellectual-property laws. Except for the limited license in Section 4, nothing in these Terms transfers any right, title, or interest in the Service to you. "Matic" and the Matic logo are marks of Prohuman LLC.
9. Feedback
If you send us suggestions or feedback, you grant Prohuman a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation or compensation to you.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PROHUMAN DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT APP BLOCKING WILL WORK IN EVERY CONFIGURATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PROHUMAN LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PRODUCTIVITY, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US (IF ANY) FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.
12. Indemnification
You agree to indemnify, defend, and hold harmless Prohuman LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.
13. Term & termination
These Terms apply while you use the Service. You may end them by deleting the app. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Sections that by their nature should survive — including Sections 8, 10, 11, 12, 14, and 15 — survive termination.
14. Dispute resolution
(a) Informal resolution first
Before filing any claim, you agree to first contact us at legal@getmatic.app and give us 30 days to resolve the dispute informally. Most concerns can be resolved this way, and we'd much rather just fix the problem.
(b) Courts
If we can't resolve it informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be brought and resolved exclusively in the courts identified in Section 15, and you and Prohuman submit to the personal jurisdiction and venue of those courts. Either party may instead bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or equitable relief in court to protect its intellectual property or address unauthorized use of the Service.
(c) Jury trial waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PROHUMAN EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
15. Governing law & venue
These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to their personal jurisdiction. Nothing in these Terms limits any mandatory consumer-protection rights you have under the laws of your place of residence.
Texas consumers (DTPA)
Nothing in these Terms waives, disclaims, or limits — or is intended to waive, disclaim, or limit — any right or remedy you may have under the Texas Deceptive Trade Practices–Consumer Protection Act (Tex. Bus. & Com. Code Ch. 17), to the extent such a waiver or limitation would be void or unenforceable under that Act. The disclaimers and limitations in Sections 10 and 11 apply only to the fullest extent permitted by Texas law.
16. Changes to these Terms
We may update these Terms as the Service evolves. We will revise the "Last updated" date above and, for material changes, provide additional notice. Your continued use after an update means you accept the revised Terms.
17. General
These Terms and the Privacy Policy are the entire agreement between you and Prohuman regarding the Service and supersede prior agreements. If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. There are no third-party beneficiaries except as stated in Section 18.
18. Apple-required terms (End User License Agreement)
The following terms apply to your license of the Matic app from the Apple App Store and are required by Apple. If any conflict exists between this Section and the rest of the Terms with respect to the App Store license, this Section controls for that purpose.
- Acknowledgement. These Terms are concluded between you and Prohuman LLC only, and not with Apple. Apple is not responsible for the Matic app or its content. Prohuman, not Apple, is solely responsible for the app.
- Scope of license. The license granted to you is a non-transferable license to use the Matic app on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that it may be accessed by other accounts via Family Sharing or volume purchasing.
- Maintenance and support. Prohuman is solely responsible for providing maintenance and support for the app. Apple has no obligation whatsoever to furnish any maintenance and support services.
- Warranty. Prohuman is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are Prohuman's sole responsibility.
- Product claims. Prohuman, not Apple, is responsible for addressing any claims by you or any third party relating to the app or your possession and/or use of the app, including: (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with the app's use of HealthKit/Family Controls or similar frameworks.
- Intellectual property rights. In the event of any third-party claim that the app or your possession and use of it infringes that third party's intellectual property rights, Prohuman, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
- Legal compliance. You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
- Developer name and address. Questions, complaints, or claims about the app should be directed to: Prohuman LLC, 8080 Westpark Drive, STE 97116, Houston, TX 77063, support@getmatic.app, (512) 571-3457.
- Third-party terms of agreement. You must comply with applicable third-party terms of agreement when using the app (for example, your wireless data-service agreement).
- Third-party beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that, upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
